Joshua Takawira joined the firm as an Associate in 2016. He has experience in general Corporate Law and has assisted numerous companies including start-ups in various corporate matters, drafting and negotiating commercial documents including sale agreements (shares, business and others) share subscriptions, shareholders agreements, board and shareholders resolutions, Trust Deeds, Memoranda and Articles of Incorporation.

He also helps various companies with company secretarial work covering compliance with various regulations. He has also assisted companies in numerous corporate governance matters. Mr Takawira has done regulatory work for local and international entities covering compliance with, among others, the Zimbabwe Stock Exchange,Zimbabwe Investment Authority and the Mineral Marketing Cooperation of Zimbabwe (the sole marketer of minerals in Zimbabwe).He has also developed knowledge in various licencing requirements in sectors such as Energy, Mining and Environmental.His practice also covers thesetting up ofentities inSpecial Economic Zones, its regulations and incentives.

In addition, Mr Takawirahas knowledge in transactional and finance practices, he advises financial institutions and other institutional lenders and borrowers in structuring documentation and administration of various forms of complex debt financing. He is versed in securitization of the debts. He has been involved in the drafting of due diligence reports for local and international investors and lenders limiting the risk associated with such financial transactions.

Mr Takawira is also a registered Estate Administrator. He has broad experience in the setting up and administration of Trusts and Estates. He currently assists Harare Board of Executors (Private) Limited. A company wholly owned by the firm. Mr Takawira has advised local, Zimbabwean diaspora and various high net worth clients with various aspects of Estate Planning including drafting wills and trusts. He also advises on the creation and administration of private foundations, trusts and public charities. Mr Takawira also litigates complex disputes relating to deceased estates.

She has been involved in registration of securities for large financing transactions as well as registration of transfers from sales, donations and estates.

Relevant Experience

Drafting shareholder’s agreements, facilitating the transfer of shares and drafting directors, and shareholder’s agreements involving one of the first multi-million-dollar solar projects in Zimbabwe.

Preparing Due Diligence report for an international financial Institution seeking to invest in a medical institution for an establishment of a multi- million-dollar genecology hospital.
